Laura Schulze Egberding has been a member of the Frankfurt/Main Bar Association since 2013.
After her law studies and her legal internship at the regional court of Frankfurt am Main (focusing on public law and contract law) Laura Schulze Egberding gained significant experience as a project and transaction manager starting in 2011, by working with a publicly-traded developer of photovoltaic projects and later at a company specializing in engineering, procurement and construction projects (EPC). Her practice focuses on the execution of complex project transactions and she specializes in renewable energy law. In addition, she has experience acting as a liaison between engineering and the legal departments. Out of this role as a liaison, she increasingly assumed the task of drafting the different, specialized contracts related to photovoltaic projects, which ranged from simple supply agreements to extensive and complex contracts for construction services.

BOP advises on a strategic company acquisition for major dental lab
Our client, a medical equipment service company, offers dental services to dental labs in Germany. As a part of our client’s growth strategy, it has acquired 100% of the GmbH shares of a major dental lab, which employs approx. 20 employees. Both medical equipment companies are located in the Rhine-Main region.
BRANDHOFF OBERMÜLLER PARTNER advised and counseled the purchaser in all questions relating to the acquisition of the company. This comprised of, among other things, the optimal legal structuring of the transaction, as well as the execution of the agreement negotiations. Another important aspect of the acquisition was the restructuring of the target company’s legal form, including the redemption of shares. Furthermore, employment law aspects, such as company pension commitments, were considered.
The dental lab’s fixed assets were sold to the purchaser by way of a sale-and-leaseback transaction. After the acquisition, the purchaser leased the dental lab’s fixed assets back to the target company. The two companies are being merged and all employment agreements are being transferred to the new company.

Windpark and Solar Power Plant Operators engage BOP with the review of their Financing Agreements in Italy
Our clients operate wind energy and photovoltaic plants in the role of Asset Managers for institutional investors, as well as on their own account. Our clients engaged BRANDHOFF OBERMÜLLER PARTNER with the review of their financing agreements for five of their power plants in Italy. The subject matter of the agreement reviews is to examine the financing interest rates and the collateral clauses, including the claim assignments to the Gestore dei Servizi Energetici S.p.A. (GSE), compensation for early repayments, contractual penalties, and other penalties, as well as termination options.
The financing agreements that have been entered into in the past, that include loan and leasing agreements, contain very high nominal interest rates as compared to the rates available in other European PV markets. As a consequence of government grid feed subsidy cuts, tax increases and sinking minimum rates for the so-called ritiro dedicato and low market prices for electricity, power plant returns are in negative territory. The Italian Civil Code, the Codice civile, provides more extensive protections for financing recipients – also in the case of financing transactions between businesses – than other legal systems. For example, agreed interest rates may be reduced and other agreement clauses may be adapted, if certain conditions are met.

Der deutsche Solarmarkt befindet sich im Wandel. Die Einspeisevergütung für mittelgroße und große Photovoltaikanlagen ist weggefallen und abseits der geförderten Direktvermarktung werden neue Geschäftsmodelle entwickelt, die Brandhoff & Partner maßgeblich mitgestaltet hat. Dazu gehören vor allem Eigenverbrauchsmodelle und Pacht- und Leasingmodelle.
Einer unserer ältesten Mandanten, der zu den weltweit größten Herstellern von Wechselrichtern gehört, hat uns nun mit der rechtlichen und steuerlichen Beratung beim Betriebsmodell für seine 2014 in Betrieb genommene Solaranlage (3 MWp) beauftragt. Dabei spielen sowohl Eigenverbrauchsmodelle im räumlichen Zusammenhang mit und ohne Durchleitung durch das öffentliche Netz als auch die Direktvermarktung des überschüssigen Stroms eine Rolle. Our client is acquiring a current-regulated cogeneration plant (CP) that is fired with gas. The cogeneration unit is part of a portfolio containing several cogeneration units with more than 40 MW total capacity at the same site in Brandenburg. The power plants are intended to be used in the electricity balancing market. Brandhoff & Partner are supporting the investor with all related legal questions. These include matters relating to energy law as well as reviewing and negotiating the agreement for the purchase of the units, the land use agreement and the maintenance agreement.
Since the minimum size of a unit participating in the control energy market was reduced from 5 MW to 1 MW, plant operators are finding a profitable option in selling their capacity on the energy balancing market. Capacity from batteries and energy storage systems used for loading energy from photovoltaic or wind energy systems can also be sold on the energy balancing market. The background: The four transmission system operators (TSO) in Germany are responsible for ensuring that the network remains stable, that is, for balancing any power imbalances in the German grid. That is why they have to maintain flexibility in production and consumption capacity at all times. Because they do not control any energy production or consumption systems themselves, they invite bids for the necessary control energy capacity in auctions in Germany.

Brandhoff & Partner hat einen großen deutschen Anlagenhersteller bei der Planung und Errichtung eines Solarkraftwerks in Israel rechtlich und steuerlich begleitet. Die Photovoltaikanlage ist mit einer Leistung von 55 MWp die größte in Israel. Sie steht nahe der Moshav Ohad etwa 100 Kilometer südlich von Tel Aviv.
Die PV-Anlage ist auf einer Gesamtfläche von 100 Hektar (1 km2) errichtet worden. Sie besteht aus fast 200.000 PV-Modulen auf einachsigen Nachführsystemen und 60 Zentralwechselrichtern. Nach Netzanschluss wird die Anlage eine jährliche Strommenge von etwa 120 Megawattstunden erzeugen und in das Hochspannungsnetz der Israel Electric Corporation (IEC) einspeisen.

Ein Finanzinvestor aus Irland hat Brandhoff & Partner damit mandatiert, ihn beim Erwerb von zwei noch zu errichtenden Freilandanlagen in Brandenburg zu beraten. Die Solarkraftwerke sollen bei Inbetriebnahme eine Kapazität von 10 und 7 MWp erreichen. Der Auftrag umfasst alle rechtlichen und steuerlichen Fragen beim Kauf der PV-Projekte. Er reicht von der Due Diligence der Nutzungsrechte, Baurechte, Einspeiserechte, Verträge und Genehmigungen über die Steuergestaltung, die Verhandlung u. a. des Kaufvertrags bis zum Netzanschluss.

Unsere Kanzlei hat einen deutschen Inverterhersteller bei einem Anfang August 2014 mit dem örtlichen Energieversorgungsunternehmen abgeschlossenen Vertrag über die Direktvermarktung von solarer Strahlungsenergie beraten. Der zu liefernde Strom stammt aus einer werkeigenen Photovoltaikanlage. Diese versorgt zusätzlich die Produktion und die Büros unseres Mandanten mit sauberer, direkt vor Ort erzeugter Energie.
Das Pilotprojekt ist ein Beitrag zur Entwicklung massentauglicher Direktvermarktungsmodelle. Ziel ist es, dem Verbraucher einen einfachen und preislich attraktiven Bezug von „Ökostrom“ zu ermöglichen.
Zahlreiche Marktteilnehmer arbeiten am Ziel einer Erhöhung der Stromversorgung mit dezentralen, regional erzeugten erneuerbaren Energien. Das am 1. August 2014 in Kraft getretene EEG 2014 verstärkt die Anreize zu verbrauchsorientierter Produktion. Daher nimmt die Bedeutung des Eigenverbrauchs und der Direktvermarktung von Strom aus regenerativen Energiequellen zu.

B&P advises on 50 million EUR Biomass Projects in Southeast Europe
A German project developer has appointed Brandhoff & Partner to provide legal advice with respect to the financing of the construction and operation of four combined heat and power plants in several countries in Southeast Europe. The B&P team is supported by its local partner firms. The overall financing volume amounts to 50 million euro.
B&P berät Wechselrichterhersteller zu Eigenverbrauch und Direktvermarktung
Unsere Kanzlei hat einen deutschen Inverterhersteller bei einem Anfang August 2014 mit dem örtlichen Energieversorgungsunternehmen abgeschlossenen Vertrag über die Direktvermarktung von solarer Strahlungsenergie beraten. Der zu liefernde Strom stammt aus einer werkeigenen Photovoltaikanlage. Diese versorgt zusätzlich die Produktion und die Büros unseres Mandanten mit sauberer, direkt vor Ort erzeugter Energie.
Das Pilotprojekt ist ein Beitrag zur Entwicklung massentauglicher Direktvermarktungsmodelle. Ziel ist es, dem Verbraucher einen einfachen und preislich attraktiven Bezug von „Ökostrom“ zu ermöglichen.
Zahlreiche Marktteilnehmer arbeiten am Ziel einer Erhöhung der Stromversorgung mit dezentralen, regional erzeugten erneuerbaren Energien. Das am 1. August 2014 in Kraft getretene EEG 2014 verstärkt die Anreize zu verbrauchsorientierter Produktion. Daher nimmt die Bedeutung des Eigenverbrauchs und der Direktvermarktung von Strom aus regenerativen Energiequellen zu.

Wechselrichterhersteller beauftragt B&P mit der Durchsetzung eines Forderungspakets über 1,5 Mio. EUR in vier Ländern
Brandhoff & Partner ist von einem Produzenten von Wechselrichtern beauftragt worden, mehr als zehn Einzelforderungen aus Lieferung und Leistung in einem Gesamtwert von rund 1,5 Mio. EUR in UK, Dänemark, Belgien und Deutschland außergerichtlich und gerichtlich zu verfolgen und durchzusetzen. Gleichzeitig ist Brandhoff & Partner für die Abwehr von behaupteten Ansprüchen aus Mängelhaftung (Gewährleistungsansprüchen) verantwortlich.
Brandhoff & Partner berät Grundstückseigentümer bei 30 MWp-Windparkvorhaben in Hessen
Brandhoff & Partner vertritt die mit einer Gesamtfläche von über 150 ha größte beteiligte Eigentümergemeinschaft bei den Vertragsverhandlungen für ein hessisches Windparkvorhaben mit einer geplanten Gesamtleistung von ca. 30 MWp. Brandhoff & Partner berät die Grundstückseigentümer zusätzlich bei allen rechtlichen und steuerlichen Fragen im Zusammenhang mit dem etwa 10 Windenergieanlagen umfassenden Windparkprojekt.

Brandhoff & Partner advises European EPC contractor on 2 MWp solar photovoltaic park in California
Brandhoff & Partner advises an Italian EPC (Engineering, Procurement & Construction) contractor who has been assigned to design and build a 2 MWp solar photovoltaic plant in California, USA. Brandhoff & Partner is going to assist in the negotiation and drafting of all project-related agreements (in particular the EPC agreement) in cooperation with its US partner law firm.
